  1. Introduction

At Osmium Partners Limited (“the Company”), we are committed to conducting business ethically, responsibly, and in compliance with all applicable laws and regulations. We expect the same high standards from our suppliers, vendors, subcontractors, and business partners (“Suppliers”).

This Supplier Code of Conduct sets out the minimum standards of behaviour and practices that all Suppliers must meet to do business with Osmium Partners Limited.

  1. Compliance with Laws and Regulations

Suppliers must comply with all applicable:

  • Local, national, and international laws and regulations 
  • Employment laws, including minimum wage, working hours, and health and safety laws 
  • Data protection regulations (including UK GDPR) 
  • Immigration and right-to-work laws
  1. Labour and Human Rights

Suppliers must:

  • Prohibit any form of modern slavery, human trafficking, or forced labour 
  • Ensure all employment is voluntary and based on legal terms
  • Respect the rights of workers to freedom of association and collective bargaining 
  • Prohibit child labour in any form 
  • Provide fair wages, working hours, and safe working conditions
  1. Health and Safety

Suppliers must:

  • Provide a safe, clean, and healthy working environment 
  • Implement effective health and safety management systems 
  • Take appropriate steps to prevent workplace injuries and accidents
  1. Ethical Business Practices

Suppliers are expected to:

  • Conduct business with integrity and transparency 
  • Avoid any form of bribery, corruption, or fraudulent behaviour 
  • Avoid conflicts of interest in their dealings with Osmium Partners Limited 
  • Report any unethical conduct or suspicious activity that may affect the business relationship
  1. Environmental Responsibility

Suppliers should:

  • Comply with applicable environmental laws and regulations 
  • Seek to minimise waste, emissions, and resource usage 
  • Promote sustainable and responsible practices in their operations
  1. Data Protection and Confidentiality

Suppliers must:

  • Protect all personal and confidential information shared by Osmium Partners Limited 
  • Comply with UK data protection legislation (including UK GDPR) 
  • Use any data solely for the purposes agreed and keep it secure at all times
  1. Diversity and Inclusion

Suppliers must:

  • Foster an inclusive workplace free from discrimination, harassment, or victimisation 
  • Promote equal opportunities regardless of race, gender, disability, age, sexual orientation, or religion
  1. Subcontracting

Suppliers must not subcontract any part of their obligations to Osmium Partners Limited without prior written consent. Any approved subcontractors must also adhere to the standards in this code.

  1. Monitoring and Compliance

Osmium Partners Limited reserves the right to:

  • Conduct audits or request evidence of compliance with this code
  • Terminate relationships with Suppliers that fail to meet the standards or refuse to remedy breaches
  1. Reporting Concerns

Suppliers are encouraged to report any suspected breaches of this code or unethical behaviour in relation to our business. Reports can be made confidentially to:
